1. Acceptance of Terms
By accessing and using the Cyber Menta website ("Website") and engaging our services ("Services"), you accept and agree to be bound by the terms and provisions of this Agreement. If you do not agree to these terms, please do not use our Website or Services.
2. Description of Services
Cyber Menta provides enterprise software development services including but not limited to:
- Business Automation Solutions
- POS Systems Development
- ERP Solutions
- HRMS and LMS Development
- AI Automation Services
- Custom Web and Mobile Development
- Software Consulting and Integration
3. Service Agreements
When you engage Cyber Menta for a software development project, a separate Service Agreement ("Project Agreement") will be created that outlines:
- Project scope and deliverables
- Timeline and milestones
- Payment terms and schedule
- Intellectual property ownership
- Support and maintenance terms
- Confidentiality requirements
4. Intellectual Property
Our Ownership: Cyber Menta retains ownership of all pre-existing intellectual property and tools developed independently by Cyber Menta.
Client Ownership: Upon full payment, clients receive full ownership of custom code and deliverables created specifically for their project, unless otherwise agreed in the Project Agreement.
Third-Party Materials: Libraries, frameworks, and tools used in development remain under their respective open-source or commercial licenses.
5. Payment Terms
Payment terms are defined in each Project Agreement and may include:
- Full payment upfront
- Milestone-based payments (50% upfront, 50% on completion)
- Monthly payment plans for larger projects
- Hourly rates for consulting and support
Late payments may incur a fee of 1.5% per month on overdue balances.
6. Project Process
Our standard development process includes:
- Discovery: Requirements gathering and project planning
- Design: UI/UX design and architecture review
- Development: Iterative development with regular updates
- Testing: Quality assurance and bug fixing
- Deployment: Launch and production setup
- Support: Post-launch maintenance (if included)
7. Revisions and Changes
Project scope changes must be agreed upon in writing. Additional work outside the original scope will be quoted separately. We allow up to 2 rounds of revisions during each development milestone to ensure deliverables meet your requirements.
Major scope changes may require timeline adjustments and additional fees.
8. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the project engagement. This includes business processes, technical specifications, and any data provided. Confidentiality obligations survive termination of the agreement for [3] years.
9. Warranties and Disclaimers
Our Warranty: Cyber Menta warrants that services will be performed in a professional and workmanlike manner. We warrant deliverables against critical defects for 30 days after交付.
Disclaimer: EXCEPT AS EXPRESSLY SET FORTH, SERVICES ARE PROVIDED "AS IS." CYBER MENTA MAKES NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION OR RESULTS OBTAINED THROUGH OUR SERVICES.
No implied warranties including merchantability or fitness for a particular purpose apply.
10. Limitation of Liability
To the maximum extent permitted by law, Cyber Menta shall not be liable for:
- Indirect, incidental, or consequential damages
- Lost profits or business opportunities
- Data loss or corruption
- Losses arising from client-provided materials
Our total liability for any claims shall not exceed the total fees paid for the specific service giving rise to the claim.
11. Termination
By Client: Client may terminate the Project Agreement with written notice. Payment is due for all work completed up to the termination date.
By Cyber Menta: We may terminate if payment is not received within 30 days of due date, or if scope becomes unmanageable due to circumstances beyond our control.
12. Indemnification
You agree to indemnify and hold harmless Cyber Menta from any claims arising from your use of our services, your violation of these terms, or content you provide that infringes third-party rights.
13. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of Pakistan. Any disputes shall be resolved in the courts of Lahore, Pakistan.
14. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms of Service, together with any Project Agreement, constitute the entire agreement between you and Cyber Menta regarding our services.
